Terms of Use

Podshot enables users to:

• Listen to podcasts within the Podshot app via integrated podcast directories and RSS feeds
• Capture podcast moments via manual timestamping, tapping within the in-app player, or screenshot-based capture flows
• Generate AI-powered summaries, transcript snippets, and notes
• Organize and revisit saved insights using tags, folders, collections, and search
• Sync supported content across devices (where available)
• Track and attribute referrals, affiliate links, and subscription purchases through integrated referral and affiliate platforms

Unless otherwise clearly stated, the Service is provided for personal, non-commercial use only.

We may modify, suspend, or discontinue the Service or any part of it at any time without liability, provided that we comply with any applicable consumer protection or subscription obligations and with our data-handling commitments in the Privacy Policy.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to:

• Download and install one copy of the Podshot app on a mobile device you own or control, and
• Access and use the Service solely for your personal, non-commercial use.

You may not:

• Copy, modify, adapt, translate, reverse engineer, decompile, or disassemble the Service (except to the extent such restrictions are prohibited by law)
• Circumvent, disable, or interfere with security features or usage limits
• Use the Service to create a competing product or service
• Rent, lease, loan, sell, sublicense, or otherwise transfer your rights to the Service
• Use the Service in violation of any applicable law, regulation, or third-party terms (such as your wireless carrier, podcast platforms, or app stores)

Podshot does not host, store, or re-host podcast audio, and does not act as the original host or publisher of podcast content. Instead:

• The app accesses third-party podcast directories, APIs, and publicly available RSS feeds on your behalf to help you find and play episodes
• Audio is streamed directly from the podcast's own hosting server (the media URL provided in the publisher's RSS feed), in the same way as other podcast apps. We do not copy, transcode, or re-host the audio, and we do not strip or alter advertisements or show notes; any buffering is temporary and only as needed for playback

You may:

• Use Podshot to access and summarize podcast episodes for your personal learning and reference
• Create, store, and share your own notes, summaries, and "Podshots" (subject to these Terms and applicable law)

You may not:

• Use summaries, transcripts, or podcast excerpts generated via the Service for commercial purposes without obtaining the necessary licenses or permissions from the relevant rightsholders
• Systematically download, reproduce, or redistribute podcast audio, transcripts, or substantial portions of episodes
• Represent AI-generated summaries or excerpts as the official or complete version of the original content

We do not monetize summarized podcast contentas a standalone productunless:

• The original podcast creator has opted in or
• A valid license agreement is in place.

If you are a podcast creator and would like to opt in, request attribution, or remove your content from being accessed via Podshot, please contact us at tech@podshot.ai.

You are solely responsible for ensuring that any further use or distribution of podcast content (including AI-generated outputs derived from it) complies with applicable copyright and other laws.

All rights, title, and interest in and to the Service (including but not limited to software, user interface, design, logos, trademarks, brand elements, and AI processing logic) are owned by World of Ideas, LLC or its licensors and are protected by intellectual property laws.

Except for podcast content and your own User-Generated Content (as defined below), all Podshot-related assets are our property..

You may not copy, modify, distribute, create derivative works of, publicly display, or reuse Podshot assets without our prior written permission.

Repeat Infringer Policy. In accordance with the Digital Millennium Copyright Act (DMCA), Podshot will terminate the accounts of users deemed to be repeat infringers in appropriate circumstances. A "repeat infringer" is a user against whom Podshot has received three (3) or more valid copyright takedown notices within any 90-day period. Account termination for repeat infringement is at Podshot's sole discretion.

Copyright / DMCA Notices. If you believe content available through Podshot infringes your copyright, our full notice, counter-notification, and designated-agent process is set out in our Copyright / DMCA Policy.

To report content you believe infringes your rights, or to raise any other concern about content on Podshot, use our content removal form at podshot.ai/report-content.

"User-Generated Content" includes notes, AI prompts, summaries, highlights, screenshots you upload, tags, folders, and other content you create or store through the Service.

You are responsible for all User-Generated Content you create, upload, or share. You represent and warrant that:

• You have the necessary rights to create and store such content
• Your content does not infringe any third party’s intellectual property, privacy, or other rights
• Your content does not contain unlawful, abusive, obscene, hateful, or otherwise objectionable material

You agree not to:

• Upload content that is unlawful, offensive, or infringes on third-party rights
• Abuse AI features to generate infringing, harmful, or misleading content
• Use the Service to harass, threaten, or harm others

We do not claim ownership of your User-Generated Content. However, by using the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and display your User-Generated Content, and to sublicense these rights to our service providers, solely as necessary to operate, maintain, secure, troubleshoot, and improve the Service.

We do not sell your User-Generated Content or license it to third parties for their own independent advertising, profiling, or resale.

We may use anonymized and aggregated usage data (which does not identify you personally) to understand how the Service is used and to improve it.

We reserve the right (but have no obligation) to remove or restrict access to User-Generated Content that, in our reasonable judgment, violates these Terms or applicable law.

Podshot uses AI models and third-party AI providers to generate summaries, transcript snippets, and other outputs

You understand and agree that:

• AI-generated content may be inaccurate, incomplete, or misleading, and should be treated as informational only
• AI outputs do not constitute professional advice (including but not limited to legal, medical, financial, or mental health advice)
• You remain responsible for how you use or act upon any AI-generated content

We will not use your personal data to train third-party AI models for their own unrelated products or services, except where you have been clearly informed and given a separate choice in accordance with our Privacy Policy.

Certain AI features may rely on third-party AI providers, and your use of those features authorizes us to share the minimum necessary data with those providers as described in the Privacy Policy.

You should not rely on AI outputs as a sole source of truth and should refer back to the original podcast or a qualified professional where appropriate.

Podshot may offer a free tier and one or more paid subscription plans ("Premium Subscription").

• Premium Subscriptions are billed via the Apple App Store or Google Play Store, and your purchase is subject to the applicable store’s terms and payment policies
• Subscriptions auto-renew unless you cancel at least 24 hours before the end of the current billing period
• Your account will be charged for renewal within 24 hours prior to the end of the current period at the then-current subscription price
• You can manage or cancel your subscription in your app store account settings (Apple ID settings or Google Play account); we cannot cancel it for you

We do not store or directly process your full payment card details; payments are handled by the respective app store. Refunds are handled according to the app store’s refund policies.

Any free trials, introductory offers, or promotional pricing will be described within the app or on the store listing and are subject to change.

The Service may integrate with or rely on third-party services, including:

• Podcast directories and RSS providers
• Hosting, analytics, and crash reporting tools
• AI and transcription APIs
• App attribution, referral, and affiliate-program providers (for example, services that attribute installs or purchases to specific links or partners)
• App stores (Apple App Store and Google Play)

These third parties act either as our service providers (processing data on our behalf) or as independent controllers with their own terms and privacy policies. We use them only for the limited purposes described in our Privacy Policy, and you are responsible for reviewing and complying with any applicable third-party terms when you interact with their services.

We do not control and are not responsible for the content, availability, or performance of third-party services.

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and share information about you. By using Podshot, you consent to our data practices as described in the Privacy Policy.

We may, at our sole discretion, suspend or terminate your access to the Service (including disabling your account) if:

• You violate these Terms or applicable law
• We reasonably believe your use of the Service may cause harm, legal liability, or security issues
• We discontinue the Service

You may stop using the Service at any time and may request account deletion as described in the Privacy Policy.

If your account is terminated or you request deletion, we will delete or anonymize your personal data and User-Generated Content within a reasonable period, subject to any legal, accounting, or fraud-prevention retention obligations, as described in the Privacy Policy.

Upon termination, your license to use the Service will automatically end. Certain provisions which by their nature should survive (such as intellectual property, disclaimers, and limitations of liability) will continue to apply.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE"BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
• ANY WARRANTY REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF AI-GENERATED CONTENT OR THIRD-PARTY PODCAST CONTENT

You are solely responsible for your use of the Service and any decisions you make based on content or AI outputs.

TO THE FULLEST EXTENT PERMITTED BY LAW, WORLD OF IDEAS, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL
• DAMAGES RELATING TO THIRD-PARTY PODCAST CONTENT, THIRD-PARTY SERVICES, OR AI-GENERATED OUTPUTS
• DAMAGES RESULTING FROM YOUR INABILITY TO ACCESS OR USE THE SERVICE

IN NO EVENT SHALL OUR TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US FOR THE SERVICE IN THE SIX (6) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow limitations on certain damages, so some of the above limitations may not apply to you.

These Terms are governed by the laws of the State of North Dakota, United States, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in North Dakota, and you consent to venue and personal jurisdiction in those courts.

If you are a consumer residing in a jurisdiction that requires a different governing law or venue, mandatory provisions of that jurisdiction’s law may apply instead.

AWe may revise these Terms from time to time. If we make material changes, we will provide notice (for example, in-app or via email). The "Last Updated" date at the top will reflect the latest version.

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Service.

You acknowledge and agree that:

• These Terms are between you and World of Ideas, LLC only, and not with Apple Inc. or Google LLC ("Platform Providers").
• The Platform Providers and their subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of the Terms, each Platform Provider will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

You further acknowledge that:

• The Platform Providers have no obligation to provide any maintenance or support services with respect to the Service.
• In the event of any failure of the Podshot app to conform to an applicable warranty (if any), you may notify Apple or Google, and the Platform Provider may refund the purchase price for the app (if applicable), and to the maximum extent permitted by law, the Platform Provider will have no other warranty obligation whatsoever with respect to the app.

• World of Ideas, LLC, not the Platform Providers, is responsible for addressing any claims you or any third party may have relating to the Service or your possession and/or use of the Service, including:

  - Product liability claims

  - Any claim that the Service fails to conform to any applicable legal or regulatory requirement

  - Claims arising under consumer protection, privacy, or similar legislation

• In the event of any third-party claim that the Service or your possession and use of the Service infringes a third party’s intellectual property rights, World of Ideas, LLC (not the Platform Providers) will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

You agree to comply with any applicable third-party terms of agreement when using the Service (for example, your wireless data service agreement).
